Setting Up A Franchise System
We will help you explore and evaluate whether franchising is the best means to establish and/or expand your business. We will review trademark and financial issues with you to ensure that you are properly protected and that both state and federal disclosure requirements are met. We will sit down with you and examine, in depth, the various business and legal aspects of your projected franchise program.
We will help you formulate the franchise fees, royalty payments, contributions to advertising funds, protected territory arrangements, term and renewal provisions, transfer conditions, development agreement formulas and all of the many other issues that you will want to explore in setting up your franchise program.
We will work with you and your accountant in determining the best structure for the entities that will make up your franchise organization. And of course, we will draft each of the various agreements (franchise agreement, sublease, equipment lease, software license, promissory note, Area Development Agreement, Master Franchise Agreement, escrowed lease assignment, etc.), which will comprise the basis of the franchiser-franchisee relationship.
